SCOPE OF WORK FOR LEGAL RETAINERS
Retainer / Ongoing Implementation Scope of Work
Objective: To provide legal advice on issues affecting Evidence Action’s ongoing operations in Zambia, including but not limited to, contract law, fiscal law, tax law, property law, intellectual property, labor law and data security law, commercial contracts, and corporate records management. The provider will also assist Evidence Action in identifying and analyzing legal issues, negotiating and drafting key documents, presenting recommendations, and assuring legal and corporate compliance. This may include, but is not limited to, the following:
1. Principal Inclusions (Work to be covered under this Agreement)
Legal advice services to be offered:
Assist EVIDENCE ACTION in interpreting, and advice on, any laws, regulations, and policies of Zambia relevant to or affecting (or likely to affect) EVIDENCE ACTION’S operations in Zambia.
Proactively update on legislative changes that may affect EVIDENCE ACTION activities, stakeholders or beneficiaries through a quarterly summary report on legislative changes and developments in Zambia.
Fulfillment of regular organizational registration and renewal requirements in Zambia. This will include providing advice on requirements, submitting documentation and liaising on behalf of EVIDENCE ACTION as required, including without limitation, with respect to registration and filing requirements for PACRA, the NGO Board, ZRA, and other regulatory ministries or departments related to EVIDENCE ACTION’S registrations and organizational structure in Zambia
Support procurement/processing of visa, immigration documents and work permits.
Provide an annual statement on EVIDENCE ACTION legal status as part of audit requirements.
Conduct legal review of memorandum of understandings, contract templates and final contracts or purchase orders for procurement, works, services, sub grants, human resources and others as required.
Review policies and procedures for legal compliance and advise on standard and best practice.
Advice on employment-related issues under applicable employment and labor laws in Zambia, including without limitation reviewing employment contracts and advising on recruitment, hiring, and termination requirements and practices in Zambia.
Advise on all aspects of tax requirements in Zambia, including but not limited to PAYE, NAPSA, NHIMA, WHT and VAT for international and nationals’ staff and transactions.
Advise on all aspects of intellectual property law and data privacy and protection laws (or any similar issues/areas of law) in Zambia implicated by Evidence Actions activities and operations.
Advise on property rights under Zambia law, including land acquisition, conveyancing and related matters.
Court filings, advise on responses to subpoenas, court orders, and requests for information from third parties.
Negotiate and reply to legal notices and help EVIDENCE ACTION address issues out of court(s).
Support due diligence checks of partners or contractors as requested and appropriate.
Any other legal task as requested by EVIDENCE ACTION.
2. Deliverables
At the end of every Quarter the firm shall provide Evidence Action with a status report on each and every matter that would have been submitted for its attention along the following terms or reference:
a. Legal compliance issues affecting Evidence Action if any and ways by which it can improve compliance;
b. Quantification of the exposure arising as a result of non-compliance where possible and suggestions as to how the exposure can be minimized or eliminated;
c. Tax and legal health check (to be completed annually)
d. Areas where evidence action can obtain legal advantages and suggestions as to how you can obtain these.
e. Specific advice on the appropriateness of the manner in which issues that arose in the course of the month were addressed; and
f. where necessary, the appropriate in-house courses for your staff on legal procedures. However, this is not included in the scope and fees
The firm shall also participate in telephone conferences from time to time in connection with assigned legal tasks. In addition, at least three times per year the firm will participate in review meetings with EVIDENCE ACTION staff to discuss key anticipated issues for the coming months/quarter.

B. The Role in Context
Overview
The Legal Assistant will provide administrative and legal support to the corporate legal team, with a primary focus on regulatory compliance in the energy trading sector. This role will require the ability to handle various tasks across multiple jurisdictions, particularly supporting the company’s compliance with law, energy regulations, licence conditions, corporate governance, and internal policies. The Legal Assistant will be instrumental in maintaining legal documentation, researching regulations, assisting with filings, and coordinating with various internal and external stakeholders.
Key Deliverables
1. Regulatory Compliance & Governance
- Assist in ensuring each group company’s compliance with local regulatory requirements.
- Monitor and track regulatory changes, assess their impact, and update compliance records accordingly.
- Maintain and update the compliance tracking system to ensure all compliance matters are captured and remain up to date.
- Monitor compliance deadlines, ensuring relevant stakeholders are informed of upcoming actions and requirements.
- Compile reports in accordance with corporate policies and regulatory guidelines.
- File statutory compliance documentation with regulatory agencies such as the Patents and Companies Registration Agency (PACRA), the Energy
- Regulation Board (ERB), local authorities, and other statutory bodies as required.
- Support other group companies in meeting local compliance requirements and report on regulatory matters affecting global operations.
Assist in internal audits and compliance training initiatives.
2. Legal Research & Advisory
- Conduct legal and regulatory research on energy trading laws, market regulations, corporate governance, investment protection, and environmental legislation in Zambia and other jurisdictions where the
- GreenCo group operates or intends to operate.
Summarize research findings and provide legal input to support corporate decision-making. - Review and comment on draft legislation and regulation.
- Review new legislation and assess its impact on company operations.
3. Document Preparation, Contract Management & KYC Compliance
- Draft, review, and maintain legal documents, including contracts, non-disclosure agreements, policies, and compliance reports.
- Ensure proper filing, organization, and retrieval of legal and corporate records.
- Assist in the review and tracking of commercial agreements and other contractual documents related to energy trading and corporate operations.
- Assist with know-your-customer (KYC) and due diligence documentation requests from counterparties by providing necessary corporate documents and ensuring compliance with regulatory requirements.
- Review KYC and due diligence documentation received from counterparties to ensure accuracy, completeness, and compliance with internal and external regulatory standards.
4. Internal & External Coordination
- Liaise with internal departments to gather relevant information for compliance and legal matters.
- Coordinate with external company secretaries and statutory bodies for filings and compliance-related activities.
- Facilitate and attend meetings, prepare presentations, and report on key regulatory and compliance issues.
- Any other tasks as may be assigned by and agreed with the supervising manager.
C. Qualifications and Requirements
Skills and Competencies:
- Strong understanding of legal processes and procedures.
Excellent written and verbal communication skills with great attention to detail. - Strong analytical and problem-solving abilities.
Ability to maintain confidentiality and handle sensitive information. - Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and familiarity with legal research tools.
- Ability to work independently and as part of a cross-functional and multicultural team in a fast-paced environment.
- Strong organizational and time management skills.
- Proactive and self-motivated with a keen interest in regulatory compliance and corporate governance.
- Experience with international legal systems and working across different jurisdictions is an advantage.
Education, Experience, & Licensing Requirements:
- Bachelor’s Degree in Law, Business Administration, or a related field from a recognized university.
- Minimum of 2 years of experience as a legal assistant, paralegal, or in a similar role within a corporate or regulatory compliance department, preferably in the energy industry.
- Knowledge of energy regulations and corporate governance laws and regulations is an advantage.

Legal Officer
JOB PURPOSE
Topstar Communications Company Limited is looking to hire a Legal Officer who will be responsible for providing legal guidance and support to the organization, ensuring compliance with applicable laws, regulations and company policies.
DUTIES AND RESPONSIBILITIES:
- Prepare and/or renew the appropriate legal documents for trial or court pleadings and related documents in partnership with external counsel
- Proficient in Government E – systems
- Draft and review Commercial Agreements
- Design and oversee the company’s Policy and position on legal matters
- Examine the legal issues related to new products and services
- Guide management on regulatory and compliance issues to ensure compliance with legal regulations
- Update the department on legal statutory amendments and/or legal reforms.
- Assist the Board secretary in corporate governance related matters.
QUALIFICATIONS / REQUIREMENTS
- Minimum Certified Grade 12 Certificate
- Certified Degree in Law
- At least 2 years’ experience in a similar role
- Must be admitted to the bar and a paid-up associate member
